1. Introduction and Acceptance

These Terms of Use (“Terms”) govern your access to and use of Uptech Innovations platform, including the website at www.uptechinnovations.com, the mobile application, and all related services (collectively, the “Platform”), operated by Uptech Innovations Limited (“Company”, “we”, “our”, or “us”), a company incorporated under the laws of the Federal Republic of Nigeria.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform with an updated effective date. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. We will notify users of material changes via email or in-app notification at least fourteen (14) days before they take effect.

2. Eligibility

To use the Platform, you must:

  • Be at least eighteen (18) years of age
  • Be a citizen or lawful resident of the Federal Republic of Nigeria
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete registration information
  • Not have been previously suspended or removed from the Platform

Corporate Accounts: If you register a Corporate Account on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. The organisation agrees to be bound by these Terms, and references to “you” in these Terms shall include both the individual user and the organisation.

3. Account Registration and Security

3.1 Personal Accounts

You must register to access most features of the Platform. During registration, you agree to provide truthful, accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials, including your password and transaction PIN.

3.2 Corporate Accounts

Corporate Accounts enable organisations to manage shared funds on the platform. Corporate Profiles support multiple team members with role-based access:

  • Owner: Full administrative control, team management, and account funding
  • Funder: Authorised to fund the Corporate account via card payment
  • Approver: Authorised to approve or reject bulk disbursement batches
  • Uploader: Authorised to upload bulk disbursement files for approval
  • Viewer: Read-only access to account and transaction information

3.3 Account Security

You agree to:

  • Keep your login credentials and transaction PIN confidential
  • Notify us immediately of any unauthorised access to your account
  • Not share your account with any other person
  • Use strong, unique passwords and enable available security features

We shall not be liable for any loss arising from your failure to safeguard your account credentials.

4. Services

The Platform provides the following services (“Services”): Purchase of airtime, data bundles, electricity tokens, and cable TV subscriptions from authorised service providers. All bill payment transactions are processed in Nigerian Naira (NGN).

5. Fees and Payments

Service fees are displayed before you confirm any transaction. By confirming a transaction, you authorise the deduction of the transaction amount plus any applicable fees from your account balance.

All payments are final and non-refundable unless:

  • A transaction fails to deliver the purchased service (e.g., airtime not credited to the recipient)
  • A duplicate charge occurs due to a system error
  • The Company determines a refund is warranted under its refund policy

Refunds for failed transactions are processed automatically where technically feasible. In cases requiring manual review, refunds will be processed within seven (7) business days.

6. Acceptable Use Policy

You agree not to use the Platform to:

  • Engage in any unlawful, fraudulent, or deceptive activity
  • Launder money or finance terrorism in violation of applicable laws
  • Interfere with the operation, security, or integrity of the Platform
  • Attempt to gain unauthorised access to other users’ accounts or our systems
  • Use automated scripts, bots, or scrapers without prior written authorisation
  • Circumvent any access controls, rate limits, or security measures
  • Upload malicious content, viruses, or harmful code
  • Misrepresent your identity or affiliation with any person or entity

Violation of this policy may result in immediate suspension or termination of your account, forfeiture of balances, and referral to relevant law enforcement authorities.

7. Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, designs, logos, trademarks, trade names, and content, are owned by or licensed to Uptech Innovations Limited. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose.

You may not copy, modify, distribute, sell, or lease any part of the Platform without prior written consent from the Company.

8. Limitation of Liability

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable Nigerian law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company shall not be liable for:

  • Service interruptions caused by third-party providers (including VTU aggregators, payment processors, or telecommunication networks)
  • Losses resulting from unauthorised access to your account due to your failure to maintain account security
  • Delays or failures in transaction processing caused by circumstances beyond our reasonable control (force majeure)
  • Indirect, incidental, special, consequential, or punitive damages

Our total aggregate liability for any claims arising from your use of the Platform shall not exceed the total fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.

9. Suspension and Termination

We may suspend or terminate your account at any time if:

  • You breach any provision of these Terms
  • We are required to do so by law, regulation, or court order
  • We reasonably suspect fraudulent or unlawful activity on your account
  • Your account has been inactive for a period exceeding twelve (12) months

Upon termination, your right to use the Platform ceases immediately. Any remaining account balance (less any amounts owed to the Company or subject to legal holds) will be refunded to you through available means within thirty (30) business days of your written request.

You may terminate your account at any time by contacting us or using the account deletion feature in the Platform settings.

10. Dispute Resolution

10.1 Informal Resolution

You agree to first attempt to resolve any dispute informally by contacting us at support@uptechinnovations.com. We will endeavour to resolve complaints within fourteen (14) business days.

10.2 Mediation

If informal resolution is unsuccessful, either party may refer the dispute to mediation.

10.3 Arbitration

If mediation is unsuccessful, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004). The arbitration shall be conducted in Lagos, Nigeria, in the English language.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including but not limited to:

  • The Nigeria Data Protection Act 2023 (NDPA)
  • The Central Bank of Nigeria (CBN) Guidelines on Electronic Banking
  • The Federal Competition and Consumer Protection Act 2018 (FCCPA)
  • The Cybercrimes (Prohibition, Prevention, etc.) Act 2015
  • The National Information Technology Development Agency Act 2007
